An accredited investor is a person or entity that meets specific financial or professional criteria under U.S. securities law, making them eligible to participate in certain private investment offerings.

The concept exists because U.S. regulators permit some investment offerings to skip standard public-disclosure requirements, on the assumption that eligible participants are financially sophisticated enough — or have access to enough professional advice — to evaluate risks on their own.
