Family Constitution

A family constitution is a written document that records a family's shared values, governance structures, decision-making rules, and policies — morally and culturally binding even when not legally enforceable on its own.

A family constitution — sometimes called a family charter or family protocol — is the foundational governance document many families create as wealth and complexity grow. It typically covers who the family is and what it stands for, how the family council and family assembly operate, how disputes are resolved, and how new members (spouses, adopted children) are welcomed into shared governance. Think of it as the written expression of agreements that might otherwise live only in the founder's head.

The constitution matters because families change — members marry, die, disagree, and multiply — while the wealth structures around them can last decades. Having shared principles in writing reduces the chance that one generation's assumptions blindside the next. Families commonly draft the constitution collaboratively, often with a facilitator, precisely because the process of writing it surfaces disagreements that are better resolved early. This connects directly to defining the family office's purpose before building infrastructure.

Consider a two-generation family where the founding couple's children have very different views on risk and philanthropy. A constitution might document an agreed investment philosophy, establish that major asset sales require a supermajority of the council, and record the family's charitable mission — giving everyone a reference point before a conflict arises.

A frequent confusion: the constitution is not a legal contract and does not replace formal legal documents like trust agreements or shareholder agreements. Families must work with qualified attorneys to ensure the constitution's intentions are reinforced by properly drafted legal instruments. Readers should consult qualified attorneys and CPAs on any legally binding implementation.
