Family Governance

Family governance is the set of structures, policies, and regular processes through which a family makes collective decisions about wealth, shared assets, values, and relationships across generations.

A family office handles the operational and financial infrastructure of wealth. Family governance handles the human infrastructure — how the family itself is organized to exercise ownership and make decisions together. The two are closely related but distinct. A family might have a sophisticated single-family office managing complex assets while having no formal governance at all: decisions made informally by one patriarch or matriarch, with no written policies and no process for the next generation to participate. That gap becomes visible — and costly — when leadership transitions or a significant disagreement arises.

Common governance bodies include a family council (a forum for all family members to discuss shared values and priorities), a family assembly (a broader, often annual gathering that may include spouses and adult children), and a family constitution or charter (a written document codifying the family's mission, values, decision-making rules, and policies for entering or exiting the ownership group). These are not legal entities; they are organizational agreements. Legal entities — trusts, holding companies, limited partnerships — are the separate, formal structures that actually hold assets, and attorneys must design them. The governance layer shapes how people engage with those structures.

Consider a three-generation family with two operating businesses and a real estate portfolio held through shared entities. Without a governance framework, a second-generation sibling disagreement could gridlock decisions about whether to sell a property or bring in outside capital. A family council with defined voting procedures and a written conflict-resolution policy gives the family a path forward before a dispute reaches that breaking point. The process of building a family office often surfaces the need for governance structures that did not exist when wealth was simpler.

Family governance also shapes how rising-generation members are prepared for ownership — sometimes through formal education programs, defined roles on committees, or staged participation in investment committee meetings. The family office's purpose and the family's governance framework should be aligned: the office serves the family's stated goals, and the governance structure ensures those goals are agreed upon, documented, and revisited as the family evolves.
