Family LLC

A family LLC is a limited liability company owned entirely or primarily by family members or family entities, used to hold, manage, and govern shared assets while limiting members' personal liability.

A limited liability company (LLC) is a legal entity that combines the liability protection of a corporation with the operational flexibility of a partnership. When the owners — called members — are all within one family, practitioners commonly call it a family LLC. Members generally cannot be held personally responsible for the LLC's debts beyond what they have invested, which is the core appeal over simpler co-ownership arrangements like tenancy in common.

Family LLCs often appear in two distinct roles. First, as a direct asset-holding vehicle: a family might place a vacation property, a securities account, or a private business interest inside the LLC, with each family branch owning a proportional membership interest. Second, as the general partner entity in a family limited partnership — the LLC manages the LP while keeping individual family members shielded from GP-level liability.

The governing document of any LLC is its operating agreement, which defines how decisions are made, how profits are distributed, and what happens when a member wants to transfer their interest. Without a thoughtfully drafted operating agreement, default state rules apply — and those defaults rarely match what a family actually wants. Family LLCs are a recurring element in family office legal entity planning, and their structure should be reviewed by qualified attorneys familiar with the relevant jurisdiction.
