Securities-Backed Lending

A borrowing arrangement in which an investor pledges a portfolio of securities as collateral for a loan without selling the underlying assets, commonly abbreviated SBL.

Securities-backed lending — often called SBL, a portfolio loan, or a pledged-asset line — allows a borrower to access liquidity without triggering a taxable sale of appreciated investments. The lender holds a lien on the pledged securities, and the borrower draws cash as needed, typically paying interest only on amounts actually borrowed. Families commonly use SBL for short-term liquidity needs: funding a real estate purchase, bridging a capital call in a private fund, or managing cash flow between a business sale and a reinvestment plan.

The central risk of securities-backed lending is the margin call. If the value of the pledged portfolio falls below a threshold set by the lender — expressed as a loan-to-value ratio — the lender can demand that the borrower either post additional collateral or repay part of the loan, sometimes within a very short window. In a rapidly declining market, this can force a sale of securities at exactly the wrong moment. This risk is conceptually similar to liquidity management challenges that arise across a family's broader portfolio.

SBL is one tool families consider when thinking about liquidity management across a complex balance sheet. It is not without cost: interest accrues on outstanding balances, and the tax treatment of interest expense depends on how loan proceeds are used — a determination that requires guidance from a qualified CPA. Lenders typically restrict the types of securities that can serve as collateral and retain the right to change those terms, so families commonly review the full loan agreement with qualified legal counsel before establishing a line.
