Special Purpose Vehicle

A separate legal entity created for a single investment, deal, or asset, designed to isolate ownership, liability, and economics from the investor's other holdings.

A Special Purpose Vehicle — widely known as an SPV — is a standalone legal entity, typically a limited liability company or limited partnership, formed around one specific purpose. Because the SPV holds a single asset or participates in a single transaction, any liabilities or losses it incurs generally cannot reach the investor's other assets. This legal separation is the SPV's defining feature and its primary practical value.

Family offices commonly use SPVs when making direct investments or participating in co-investments alongside a private equity fund. Imagine a family office that wants to invest alongside a sponsor acquiring a manufacturing business: they might receive their ownership stake through a dedicated SPV rather than investing directly on the cap table. The SPV holds that one position, keeping it administratively and legally ring-fenced from the family's other holdings.

SPVs also appear in real estate, where a family might hold each property in its own entity for liability isolation and estate planning flexibility. A common confusion is treating an SPV as inherently complex or institutional — in practice, forming one can be straightforward, though the tax, legal, and governance implications of each structure deserve careful professional review. The role of SPVs connects naturally to broader questions of family office legal entities and how families organize ownership across a portfolio.
