Trust Protector

A trust protector is an independent third party named in a trust document and granted specific powers to modify or oversee the trust after it is created.

One tension in long-lived trusts is that the world changes but the document does not. A trust protector addresses this by giving a designated person — someone other than the trustee or the beneficiaries — defined powers to intervene when circumstances shift. Those powers might include changing the trust's governing jurisdiction, removing and replacing a trustee, or adjusting distribution terms to account for new tax laws. The role has become increasingly common in dynasty trusts and other long-horizon structures.

Consider an irrevocable trust drafted decades ago that named a bank as trustee. If that bank merges, underperforms, or no longer serves the family's needs, a trust protector with removal power can make a change without going to court. Similarly, if the situs — the governing jurisdiction — becomes less favorable due to new legislation, a protector with decanting or migration power can move the trust to a better environment.

A common confusion is treating the trust protector as a co-trustee. They are not. A trustee manages assets and owes legal duties to beneficiaries; a trust protector holds only the specific powers listed in the document and typically has no day-to-day management role. The scope of those powers, and the protector's own liability, must be spelled out carefully. Families must work with qualified attorneys to define the trust protector role properly.
